About this position
The Corporate Secretariat Officer will be responsible for managing meetings, preparing reports, maintaining corporate records, and providing company secretary services.
Responsibilities
• Managing all required meetings of shareholders, the board of directors, and related board committees with compliance with laws and regulations, the company's articles of association, and individual board and committee charters, including providing meeting notification, minutes of meetings, and ensuring a good governance process.
• Monitor changes and updates in relevant laws and regulations and take appropriate action.
• Assist in preparing reports and disclosures in both English and Thai for the SET and the SEC.
• Responsible for preparing and maintaining updated corporate records, including those of subsidiaries.
• Assist in delivering all company secretary services to support the board of directors and executives.
• Assist in preparing and coordinating the 56-1 One Report.
• Administrative tasks related to the corporate secretary's duties
• Perform other related duties as assigned.
Requirements
• Minimum bachelor's degree in business administration, law, or a related field.
• Experience of at least 3 years as a corporate secretary in a relevant business area.
• Experience with a listed company and being used to coordinating with SET, SEC, and TSD would be an advantage.
• Good command of English.
• Good and proficient in MS Office (Word, Excel, and PowerPoint).
• Knowledge of SEC/SET/BOT rules, regulations, and requirements, the Public Company Act, and Thai corporate and commercial law would be an advantage.
• Knowledge of company or corporate laws and basic financial statements would be an advantage.
• Willing to learn with multi-tasking skills, summarizing skills, and analytical skills.
